Use of Participant’s Likeness, Image
The undersigned hereby grants to FUJIFILM North America Corporation and its parent, subsidiaries and affiliates (collectively referenced herein as “Fujifilm”), their advertising and production agencies, service providers and others working for it or on its behalf (collectively, the “Fujifilm Group”) and the Photographer referenced above, the right and permission to use, publish, display and exploit my likeness, image, voice and/or photograph, as appearing in photographic images and video prepared by Fujifilm personnel (including the above-referenced Photographer), and/or as may be modified, cropped, edited, enhanced in connection with the standard editing process (collectively, the “Likeness”) solely in on-line advertising, social media, e-blasts, digital advertising, gallery or trade show materials, and/or any other non-print public display and uses designed solely to promote the photo event referenced above or other Fujifilm photo event activities and events (the “Advertising”). My image will not be used in general commercial advertising, and particularly in print advertising, without my further written consent. The undersigned understands that it will not be possible for him/her to review, inspect or approve the referenced Advertising, or any final video or image containing the Likeness prior to publication. The undersigned agrees that he/she will have no claim to payment or compensation from Fujifilm or the above-referenced Photographer, and that participation in the Photo event is the only consideration provided. The undersigned confirms that no further authorizations are required to make use of the Likeness in Advertising as referenced hereunder.
Waiver and Release of Claims
The undersigned hereby waives and releases Fujifilm Group and the Photographer from any and all demands, allegations, lawsuits, claims, issues, losses, damages, liabilities, injuries, illnesses, inconveniences, loss or damage to property, costs or expenses which the undersigned incurs during, in connection with, by reason of, or directly or indirectly relating to, his/her participation in the above-referenced photo event, including without limitation any such claims resulting from personal injury or COVID-19 exposure during the photo event. The undersigned further acknowledges and agrees that the referenced photo event may be cancelled, shortened, or suspended (with or without rescheduling) by Fujifilm Group in its sole discretion upon notice, without liability or further obligation. In the event the photo event is cancelled (due to weather, COVID-19 pandemic circumstances, or otherwise), Fujifilm Group’s sole obligation will be to either reimburse the undersigned for any participation fee paid to Fujifilm Group for the cancelled photo event, or to offer the undersigned the opportunity to participate in a substitute photo event in or around the same location on a date within nine (9) months from the date of cancellation. In no event will Fujifilm Group or photographer be liable or responsible in any situation for direct, indirect, special, incidental, consequential, punitive or exemplary damages (including without limitation cover costs, lost profits, lost opportunities, lost efficiency, productivity or synergies, overhead or administrative expenses, cost of capital, reliance expenses, economic loss, or damage to reputation or goodwill) even if apprised of the likelihood of any such damages and irrespective of the nature of the claim asserted.
General
This document contains the entire understanding with respect to the above-referenced photo event, and shall be governed by the laws of the State of New York. The rights, agreements, and acknowledgements in this document may not be revoked or amended except with the written approval of Fujifilm. Fujifilm Group is the specifically intended beneficiary of this document.
